Thank you for your interest in the Gear6 Web Cache Universal Distro.  This page contains certain of the terms and conditions ("Terms and Conditions") for the Gear6 Web Cache Universal Distro.   By registering for and downloading Gear6 Web Cache Universal Distro, you agree, either for yourself or on behalf of your employer, to be bound by our terms and conditions.  If you are accepting on behalf of your employer you represent and warrant that you have full legal authority to bind your employer or such entity to these terms and conditions.  If you don't have the legal authority to bind, do not check the "I agree to the Terms and Conditions check box" listed above.

The full terms of the license for the Gear6 Web Cache product are available through the product user interfact (see under Help, Gear6 License).  In the event of a conflict between the terms and conditions listed here and the terms in the product, the terms in the product supercede.

Internal Business Use Only
The Gear6 Web Cache Universal Distro is made available to you for internal business evaluation purposed and for use in compliance with all applicable laws, rules and regulations. 

Prohibited Actions
You may not distribute Gear6 Web Cache Universal Distro or any services or software associated with or derived from it, modify, copy, disassemble, license, or create derivative works from Gear6 Web Cache Universal Distro, unless you obtain Gear6's written permission in advance. 

Supported Platforms
The Gear6 Web Cache Universal Distro is supported on the qualified platforms listed here:  http://www.gear6.com/memcached-product/platforms. You are free to use this Universal Distribution on any platform however only those platforms that are qualified will be supported by Gear6.

License
You agree to a 10-day non-exclusive, non transferable license for evaluation purposes.  You also acknowledge that the Gear6 Web Cache Universal Distro contains Open Source software.    That software is licensed pursuant to the terms of the respective open source licenses, which are provided with the Gear6 Product.  Information on the Gear6 license and relevant Open Source software is available on request from g6-memcached.

Intellectual Property
You acknowledge that Gear6 or third parties own all right, title and interest in and to Gear6 Web Cache Universal Distro, portions thereof, or software or content provided through or in conjunction with Gear6 Web Cache Universal Distro, including without limitation all Intellectual Property Rights. "Intellectual Property Rights" means any and all rights existing from time to time under patent law, copyright law, trade secret law, trademark law, unfair competition law, and any and all other proprietary rights, and any and all applications, renewals, extensions and restorations thereof, now or hereafter in force and effect worldwide. You agree not to (and agree not to allow third parties to) modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from Gear6 Web Cache Universal Distro or to extract significant portions of Gear6 Web Cache Universal Distro files for use in other applications. You also agree (and agree not to allow third parties to) not to remove, obscure, or alter Gear6's or any third party's copyright notice, trademarks, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through Gear6 Web Cache

Termination:
Gear6 may at any time, in its sole discretion, terminate all or part of the Program, terminate this Agreement, or suspend or terminate the participation of any Property in all or part of the Program for any reason.

Confidentiality:
You agree not to disclose Gear6 Confidential Information without Gear6Õs prior written consent. "Gear6 Confidential Information" includes without limitation: (a) all Gear6 software, technology, programming, specifications, materials, guidelines and documentation relating to the Program; (b) any other information designated in writing by Gear6 as "Confidential" or an equivalent designation. 

Changes to Terms and Conditions
Gear6 reserves the right to modify these Terms and Conditions from time to time in its sole discretion, without notice or liability to you. You agree to be bound by these Terms and Conditions, as modified.   You can view the most current terms and conditions at www.gear6.com/memcached-distro

Automatic Updates and Support Information
Gear6 Web Cache will communicate with Gear6 servers to check for available updates to the software and to provide support information (logs) to Gear6.   By installing and using the Gear6 Web Cache Universal Distro, you hereby agree to have the Gear6 Web Cache Universal Distro communicate with Gear6 servers.

Disclaimer of Warranties
Gear6, Inc and any third party who makes its software or content available in conjunction with or through Gear6 Web Cache disclaim any responsibility for any harm resulting from your use (or use by your employees, agents or contractors) of Gear6 Web Cache and/or any third party software or content accessed in conjunction with or through Gear6 Web Cache Universal Distro. GEAR6 WEB CACHE UNIVERSAL DISTRO AND ANY THIRD PARTY SOFTWARE AND CONTENT MADE AVAILABLE IN CONJUNCTION WITH OR THROUGH GEAR6 WEB CACHE UNIVERSAL DISTRO ARE PROVIDED "AS IS," WITH NO WARRANTIES WHATSOEVER. GEAR6 AND SUCH THIRD PARTIES EXPRESSLY DISCLAIM TO THE FULLEST EXTENT PERMITTED BY LAW ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. SUCH LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, (EVEN IF GEAR6 AND/OR A THIRD PARTY SOFTWARE OR CONTENT PROVIDER HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). These Terms and Conditions will be governed by and construed in accordance with the laws of the State of California, without giving effect to the conflict of laws provisions of California or your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of these Terms and Conditions to be unenforceable, the remainder of these Terms and Conditions will continue in full force and effect. These Terms and Conditions constitute the entire agreement between the parties with respect to the subject matter hereof and supersede and replace all prior or current understandings or agreements, written or oral, regarding such subject matter. Any waiver of any provision of these Terms and Conditions will be effective only if in writing and signed by Gear6 and/or a third party who make its software and/or content available in conjunction with or through Gear6 Web Cache Universal Distro.
